1. Acceptance of these terms
These Terms of Service ("Terms") apply to your use of the NexPe India website, partner dashboard, REST APIs, mobile interfaces, documentation, and any related tools or services (collectively, the "Platform") operated by NexPe India ("we", "us", or "our").
By registering an account, integrating our APIs, or otherwise accessing the Platform, you confirm that you have authority to bind yourself or the business entity you represent, and that you accept these Terms in full.
2. Description of services
NexPe India provides B2B digital payment infrastructure for retailers, distributors, white-label partners, and technology integrators. Our offerings may include mobile and DTH recharge APIs, Bharat Bill Payment System (BBPS) utilities, AEPS, payout rails, wallet management, commission reporting, and related integration support.
Specific service scope, commercial rates, service-level expectations, and geographic availability are defined in your onboarding form, pricing plan, or separate commercial agreement. We may enhance, modify, or discontinue features with reasonable notice where practicable.
3. Account registration and security
You must provide accurate business and contact information during registration and keep it current. You are solely responsible for protecting login credentials, API keys, webhook secrets, and any devices used to access the Platform.
Notify us promptly at info@nexpeindia.com if you suspect unauthorised access. We may suspend or restrict accounts to investigate fraud, security incidents, regulatory concerns, or material breach of these Terms.
4. Acceptable use and regulatory compliance
You agree to use the Platform only for lawful business purposes. You remain responsible for obtaining valid customer consent, maintaining KYC/AML obligations applicable to your business model, and complying with Reserve Bank of India (RBI), National Payments Corporation of India (NPCI), telecom regulator, and other sector-specific rules that govern your activities.
You must not use NexPe India to process prohibited transactions, circumvent network rules, misrepresent transaction purpose, overload systems through abusive automation, or resell access in violation of your plan terms.
5. Fees, wallet balances, and settlements
Applicable setup fees, subscription charges, transaction margins, and wallet load requirements are disclosed during onboarding or within your dashboard. You authorise us to deduct applicable charges from your prepaid wallet or settlement balance as transactions are processed.
Settlement timelines, commission structures, and reversal handling follow the rules published in your partner agreement and may vary by product line (recharge, BBPS, payout, etc.).
6. Intellectual property
NexPe India retains all rights in the Platform, including software, UI designs, documentation, trademarks, and proprietary routing logic. You receive a limited, non-transferable, revocable licence to use the Platform during your active partnership and only as permitted by these Terms and your commercial agreement.
Feedback you provide may be used by us to improve services without obligation to compensate you, unless otherwise agreed in writing.
7. Confidentiality and data
Each party will protect confidential information shared during the partnership. Processing of personal data is governed by our Privacy Policy, which forms part of your relationship with NexPe India.
8. Disclaimers
The Platform is provided on an "as available" basis. While we target high uptime and low-latency routing, third-party operators, banks, and networks may experience outages beyond our control. We do not guarantee uninterrupted service or error-free API responses in all scenarios.
9. Limitation of liability
To the fullest extent permitted under Indian law, NexPe India shall not be liable for indirect, special, incidental, or consequential losses including lost profits, business interruption, or reputational harm arising from Platform use.
Our total aggregate liability for any claim relating to the Platform is limited to the total platform fees paid by you to NexPe India in the twelve (12) months immediately before the event giving rise to the claim, except where liability cannot be limited by applicable statute.
10. Termination
Either party may terminate the partnership according to the notice period in your commercial agreement. We may terminate or suspend access immediately for material breach, fraud, legal compulsion, or non-payment. Upon termination, outstanding wallet balances and commissions will be handled as described in your agreement and our Refund Policy.
11. Governing law and disputes
These Terms are governed by the laws of India. Courts at New Delhi shall have exclusive jurisdiction, subject to any mandatory arbitration or escalation process specified in your partner agreement.
12. Changes to these Terms
We may revise these Terms from time to time. Material updates will be communicated through email, dashboard notification, or a prominent notice on our website. Continued use of the Platform after the effective date of revised Terms constitutes acceptance of the updated version.
